Vidda for Apple devices. Vidda Software Inc.

01Who this agreement is between

This agreement is between you and Vidda Software Inc., 420 W Hastings St, Unit 300, Vancouver, British Columbia V6B 1L1, Canada. In these terms, “we”, “us” and “our” mean Vidda Software Inc., and “Vidda” means the Vidda app for Apple devices.

By downloading Vidda, or by subscribing, you agree to these terms. If you do not agree to them, do not use Vidda.

Apple is not a party to this agreement, although section 18 sets out some terms that concern Apple.

02What Vidda is

Vidda is software that produces retirement projections. You tell it about your situation, and it calculates what your retirement is likely to look like using published Canadian tax rules, benefit rules and assumptions that are documented in the app.

The calculations run on your device. Vidda does not connect to your bank, your brokerage or any other financial institution. It holds no money and moves none. It does not buy, sell or hold securities or any other financial product, and it cannot carry out a transaction of any kind on your behalf.

03What Vidda is not

This section matters more than any other, so it is written plainly rather than in the usual language.

Vidda is not financial, investment, tax, legal, insurance or accounting advice, and using it does not create an advisory relationship, a fiduciary duty, or a relationship of trust between you and us.

Vidda Software Inc. is not registered as an adviser, a dealer, or in any other category under the securities legislation of any Canadian province or territory, and we do not hold ourselves out as being registered. We are not a financial planning firm, and nobody at Vidda Software Inc. is acting as your financial planner or financial advisor.

Vidda does not recommend anything. It will not tell you what to buy, what to sell, what to hold, which financial institution or product to use, or which professional to see. Where it shows you the effect of a choice, it is showing you arithmetic, not an opinion about what you should do.

Vidda does not know your circumstances. It knows what you have entered and nothing else. It cannot see your health, your family, your job security, your obligations to other people, or anything else you have not told it.

The decisions are yours. A retirement projection is a useful input to a decision and it is not the decision. For anything significant, we would encourage you to speak to a qualified professional who can look at your whole situation, and to bring your Vidda projection with you.

04What Vidda's numbers can and cannot tell you

Vidda produces projections, not predictions. A projection shows what happens if a set of assumptions holds. Nothing about your future returns, your future taxes, your future benefits, inflation, your health or how long you will live is known, and no projection can make them known.

The assumptions Vidda uses are documented and you can see them in the app on the Settings page.

Vidda models Canadian federal and provincial tax and benefit rules as they stood on the date shown in the app. Rules change. When they do, we update Vidda, and until we do, your projection reflects the older rules.

Some rules are simplified, and some situations are not modelled at all. We publish what those are rather than leaving you to discover them (https://vidda.ca/known_limitations).

Your results depend on what you enter. If a figure you give Vidda is wrong or out of date, the projection built on it will be wrong too, and Vidda has no way to know.

We do not guarantee that any projection will prove accurate, that you will achieve any particular outcome, or that following any path Vidda shows you will leave you better off.

05Who may use Vidda

Vidda is offered to residents of Canada and is not directed to anyone outside Canada. You must have reached the age of majority in the province or territory where you live in order to subscribe.

Vidda is for your own personal use, and for the household you are planning for.

You are welcome to recommend Vidda to anyone, and nothing here stops you doing that. What this licence does not cover is using Vidda to produce plans, projections or planning services for other people as part of a service you provide, whether or not you are paid for it and whether or not you are licensed. That use is available under a different agreement. If you want one, write to info@vidda.ca.

06Your licence to use Vidda

While your subscription is active, we grant you a personal, non-exclusive, non-transferable, revocable licence to use Vidda on Apple-branded devices that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. We do not sell you the software; we license it.

You may not copy, modify, translate, or create derivative works of Vidda; reverse engineer, decompile or disassemble it, except to the extent that law expressly permits despite this restriction; rent, lease, lend, sell, redistribute or sublicense it; remove or obscure any notice in it; work around any limitation, entitlement check or payment mechanism in it; or access it by automated means.

07Your account, and your recovery code

You do not need an account to try Vidda. An account is created when you subscribe, and it exists so that your plan can be backed up and can follow you to another device.

You are responsible for keeping your sign-in credentials secure and for what happens under your account.

When your account is created you are given a recovery code. Read section 8 before you dismiss that screen, because the code is not a convenience.

08Your encryption key, and what happens if you lose it

Everything in your plan is encrypted on your device before it is sent to us, using a key that only you hold. This means we cannot read your plan. It also means we cannot recover it for you.

Your key is stored in your iCloud Keychain and follows you to your own Apple devices. Your recovery code is that same key, written down.

If you lose access to your iCloud Keychain and you do not have your recovery code, the copy of your plan that we hold cannot be recovered by you, by us, or by anyone. There is no override, no support process and no back door. This is not a policy we could change if we wanted to; it follows from the way the encryption works, and it is the price of us being unable to read your plan.

Your plan also lives on your device itself, and losing the key does not remove it from the device you are using. What it removes is the ability to restore it anywhere else.

We will never ask you for your recovery code, in support, by email, or in any other way. Anyone who asks you for it is not us.

Keep your recovery code somewhere safe, such as a password manager or on paper. Do not send it to anyone.

09Your subscription

What your subscription covers. A subscription gives you full access to Vidda. You can pay monthly or yearly. Both give you the same access, and they differ only in how often you pay and in what you pay.

Apple's role. Apple takes your payment, holds your billing details and manages your subscription, acting as our agent. We never see your card details. Your contract for the subscription is with us, not with Apple, and we are responsible to you for it.

The free month. If you have not subscribed to Vidda before, your first month is free. Your subscription begins, and your first payment is taken, at the end of that month unless you cancel before then. We will email you between two and ten days before the free month ends to tell you the date it ends and what you will be charged.

The price. The price is the one shown to you in the app at the time you subscribe.

Automatic renewal. Your subscription renews automatically at the end of each period, monthly or yearly depending on which you chose, at the price then in effect, until you cancel. If you pay yearly, we will email you between thirty and sixty days before each renewal to tell you when it will happen and how to cancel.

Cancelling. You can cancel at any time, without penalty and without giving a reason, using the Manage subscription row in the app's Settings or your Apple account settings. Cancelling takes effect at the end of the period you have already paid for, and you keep access until then. Section 10 explains what happens after that.

If you change your mind after a renewal. If a yearly subscription renews and you decide within fifteen days that you did not want it, you can ask for a refund. Refunds for App Store purchases are issued by Apple, not by us, and Apple makes the final decision. Write to support@vidda.ca and we will start that request with you and follow it up. This does not affect any right you have under the consumer protection law of your province.

Price changes. The price is a term of this agreement that we may change. If we change it, we will tell you at least thirty and no more than sixty days before the new price applies, and you may cancel before then. Depending on the size of the change, Apple may separately ask you to agree before it takes effect. Section 20 explains that no other term may be changed this way.

Taxes. The price shown in the App Store includes applicable Canadian sales taxes, which Apple collects and remits.

10When your subscription ends

If your subscription ends, whether because you cancelled it or because it lapsed, the plan you built stays on your device and you can still read it. You keep what you made. What stops is the ability to change it, and the parts of Vidda that depend on an active subscription.

Our copy of your plan is kept and then deleted on the schedule set out in our Privacy policy. Once that copy is deleted, your recovery code no longer recovers anything, because there is nothing left on our side to unlock. The plan on your device is not affected.

11Your information

How we handle your personal information is set out in our Privacy policy at https://vidda.ca/testing_privacy_policy, which forms part of this agreement.

In short: your plan is encrypted before it leaves your device so that nobody, including us, can read it. Beyond the account itself, meaning your sign-in email and subscription status, the only readable facts our server keeps about you are your province and the five-year span you were born in.

12Changes to Vidda

We will keep improving Vidda, which means features will change and some will be removed. If we make a change that materially reduces what your subscription gives you, we will tell you before it happens and you may cancel and stop paying.

We update the tax and benefit rules in Vidda as they change. We do not promise a particular update schedule, and we do not promise that every rule affecting you will be modelled.

13Suspension and termination

You can stop using Vidda at any time, cancel your subscription through Apple, and delete your account from inside the app.

We may suspend or end your access if you breach these terms, particularly section 5 or section 6, or if we are required to by law. Where the circumstances allow it we will tell you first and give you a chance to put it right. If we end your access other than for a breach by you, we will refund the unused part of the period you have paid for.

If we ever stop offering Vidda, we will give you as much notice as we reasonably can, tell you how to export your plan, and refund the unused part of the period you have paid for.

14Our intellectual property, and yours

Vidda, its calculation engine, its content, its design and its name belong to us or to our licensors, and nothing in these terms transfers any of that to you.

Your plan and the information you enter belong to you. We claim no ownership of them, and because of section 8 we could not read them even if we wanted to.

If you send us feedback or a suggestion, you agree we may use it without owing you anything for it. We will not identify you as its source without your permission.

15Warranties, and the rights you have anyway

We provide Vidda with reasonable care and skill. Beyond that, and beyond section 4, we do not make promises about it, and to the extent the law allows we exclude implied warranties and conditions.

That exclusion has limits, and they are real ones. Consumer protection law in your province gives you rights that we cannot exclude, restrict or reduce, whatever these terms say. Nothing in this agreement takes those rights away from you, and where anything in this agreement conflicts with them, those rights apply and this agreement does not.

16Liability

We are liable to you for loss we cause you through our own fault, and nothing in these terms limits that where the law does not allow it to be limited. In particular, nothing here limits our liability for personal injury, for fraud, or for anything else the law says cannot be limited.

Subject to that, and to the extent the law allows, we are not liable for financial decisions you make using Vidda, for outcomes that differ from a projection, for loss of data caused by the loss of your encryption key as described in section 8, or for indirect or consequential loss. Where our liability can be limited, it is limited to the amount you paid us for your subscription in the twelve months before the event giving rise to the claim.

17Disputes

If something goes wrong, write to info@vidda.ca first and tell us plainly what happened. Most things can be sorted out that way, and we would rather sort them out than argue about them.

This agreement is governed by the law of British Columbia and the federal laws of Canada that apply there. That does not deprive you of the protection of the consumer protection law of the province or territory where you live, and it does not require you to bring a claim anywhere other than where you live.

Nothing in this agreement prevents you from bringing or joining a class proceeding, or requires you to arbitrate a dispute with us, or restricts your ability to publish a review of Vidda.

18Terms that concern Apple

These terms are required because Vidda is distributed through the App Store.

This agreement is between you and us, not between you and Apple, and we alone are responsible for Vidda and its content.

Apple has no obligation to provide any maintenance or support for Vidda.

If Vidda fails to conform to any warranty that applies to it, you may notify Apple and Apple will refund the purchase price to you. To the maximum extent the law allows, Apple has no other warranty obligation at all in respect of Vidda, and any other claim, loss, liability, damage, cost or expense attributable to a failure to conform to a warranty is our responsibility.

We, not Apple, are responsible for addressing any claim you or a third party makes relating to Vidda, including product liability claims, any claim that Vidda fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or privacy law.

We, not Apple, are responsible for the investigation, defence, settlement and discharge of any claim that Vidda infringes a third party's intellectual property rights.

You represent that you are not located in a country that is subject to a United States government embargo, or that has been designated by the United States government as a terrorist supporting country, and that you are not listed on any United States government list of prohibited or restricted parties.

You must comply with any applicable third party terms of agreement when using Vidda.

Apple and Apple's subsidiaries are third party beneficiaries of this agreement, and on your acceptance of it Apple will have the right, and is deemed to have accepted the right, to enforce it against you as a third party beneficiary of it.

19Language

These terms are published in English. A French version is in preparation and will be published here, and the two versions will say the same thing.

Both versions live at this address, https://vidda.ca/terms. If your device or browser is set to French, French is the version we show you, and you can switch between them from the toggle at the top of the page at any time.

Quebec law requires the French version of an agreement like this one to be available to you before you agree to an English one. The French version is in preparation and will be published here. If you choose to proceed in English, the English version is the one that binds you. If no choice is made, the French version applies.

We publish both versions to everyone, wherever you live, because that is simpler than working out where you are and because a Canadian product should be readable in both languages.

20Changes to these terms

We may change these terms for people who subscribe in the future, and the current version is always at https://vidda.ca/terms.

For you, while your subscription continues, the only term we may change on our own is the price, which is dealt with in section 9. Any other change that would apply to you needs your agreement, and we will ask for it rather than assume it.

21The rest

If any part of this agreement is found to be unenforceable, the rest of it continues to apply.

If we do not enforce a term straight away, that does not mean we have given it up.

You may not transfer your rights under this agreement to anyone else. We may transfer ours to a company that takes over our business, and if we do we will tell you first.

These terms, together with our Privacy policy and the subscription terms in section 9, are the whole agreement between you and us about Vidda.
